These terms apply to your use of the Modblox marketing website. Use of the Modblox platform is governed by separate commercial agreements.
1. Agreement to these terms
These Terms of Use ("Terms") govern access to and use of the Modblox marketing website at modblox.co.za (the "Website"), operated by Cross Platform ("Cross Platform", "we", "us", or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
2. Website terms vs. commercial platform agreements
The Website provides general information about Modblox, including product descriptions, screenshots, documentation-style content, and a contact form for enquiries.
These Terms govern the Website only. They do not create a subscription, licence, service level commitment, or other commercial relationship. Access to and use of the Modblox managed platform, Data Gateway, modules, support, hosting arrangements, and related services are governed exclusively by separate written agreements between Cross Platform and the customer, such as a master services agreement, order form, statement of work, or data processing addendum ("Commercial Agreement").
If there is any conflict between these Terms and a Commercial Agreement, the Commercial Agreement prevails with respect to the Platform and paid services.
3. Permitted use
You may use the Website for lawful business purposes, including learning about Modblox and contacting us. You agree not to:
- use the Website in any way that violates applicable law or regulation;
- attempt to gain unauthorised access to the Website, its servers, or related systems;
- interfere with or disrupt the Website, including by introducing malware or excessive automated requests;
- scrape, harvest, or systematically copy Website content except as permitted by standard search indexing or with our prior written consent;
- misrepresent your affiliation with Cross Platform or Modblox; or
- use the Website to send unsolicited or unlawful communications.
4. Informational content only
Product descriptions, screenshots, feature lists, performance statements, integration references, and other materials on the Website are provided for general information and marketing purposes. They are not a binding offer and may change without notice.
Actual Platform capabilities, supported ERP adapters, deployment architecture, security controls, pricing, and service levels depend on the customer's environment, licensed modules, and Commercial Agreement. Do not rely on Website content alone when making procurement or technical decisions.
5. Intellectual property
The Website and its content, including text, graphics, logos, icons, images, software, and design, are owned by or licensed to Cross Platform and are protected by intellectual property laws. "Modblox" and related branding are used by Cross Platform.
You may view and download Website content for your internal business evaluation. You may not copy, modify, distribute, publicly display, or create derivative works from Website content except with our prior written consent or as permitted by law.
6. Third-party links and services
The Website may link to third-party websites or services, including Cross Platform's corporate site. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party sites is at your own risk and subject to their terms.
7. Privacy
Our collection and use of personal information through the Website is described in our Privacy Policy. By using the Website, you acknowledge that you have read that policy.
8. Disclaimers
The Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of Website content.
We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.
9. Limitation of liability
To the fullest extent permitted by law, Cross Platform and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity arising out of or related to your use of the Website.
To the extent liability cannot be excluded, our total aggregate liability arising out of or related to the Website will not exceed ZAR 1,000 or the minimum amount permitted by applicable law, whichever is greater.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
10. Indemnity
You agree to indemnify and hold harmless Cross Platform from claims, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Website or breach of these Terms, except to the extent caused by our wilful misconduct.
11. Changes
We may update these Terms from time to time. The effective date at the top of this page will change when we do. Continued use of the Website after updated Terms are posted constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law rules. Subject to any mandatory consumer protections in your jurisdiction, you agree to the exclusive jurisdiction of the courts of South Africa for disputes relating to the Website.
